Terms and Conditions

Definitions


The “Provider” refers to Nickleby Consulting Ltd. Positivity in Practice is a trading name of Nickleby Consulting Ltd, (Company No. 12164548), 64 Southwark Bridge Road, London, SE1 0AS. 


“Services” means any products or services provided by the Provider, including but not limited to Membership, 1–2–1 Coaching and Group Coaching.


“Membership” means access to the Positivity in Practice app and its features on a subscription basis.


“1–2–1 Coaching” means individual coaching sessions delivered by the Provider.


“Group Coaching” means coaching sessions delivered by the Provider for a defined group of individuals. 


By submitting payment, you confirm that you have read, understood and agree to these Terms & Conditions.


1 Core Terms and Conditions


1.1 Nature of Coaching and Training

Depending on the products and services, the following may be included

  • Coaching involves questions and reflective prompts that help you generate your own insights and next steps. Coaching supports mindset shifts and future-focused growth and does not include advice or directives
  • Training is grounded in neuroscience and positive psychology
  • Practices are designed to build emotional regulation, confidence and self-trust

The Provider agrees to maintain the ethics and standards of behaviour established by the International Coaching Federation (ICF).

You are encouraged to familiarise yourself with the ICF Code of Ethics: ICF Code of Ethics

  

The Provider does not diagnose or treat mental health conditions. The Provider’s Services are not a substitute for therapy, counselling, medical treatment or crisis support. You are responsible for seeking appropriate professional support where needed.


1.2 Provider Confidentiality

The Provider is committed to maintaining high standards of confidentiality in line with the ICF Code of Ethics. All personal information shared will be treated with respect and kept confidential.


The Provider will not disclose any personal information shared privately without your consent, except in the specific circumstances outlined below.


Personal information is not considered confidential if it:

  1. was already known to the Provider prior to your use of their Services
  2. becomes public through no breach of confidentiality
  3. is independently obtained from a third party without an obligation of confidentiality
  4. is required to be disclosed by law, court order or subpoena
  5. indicates an imminent risk of harm to you or others
  6. involves disclosure of illegal activity


You remain responsible for raising any confidentiality concerns or boundaries with the Provider in a timely manner.


1.3 CPD (Continuing Professional Development)

It is your responsibility to determine how many hours you can record as CPD, based on guidance from the RCVS or any other regulatory body, and to record these hours appropriately.


1.4 Feedback & Testimonials

Your insights help shape future iterations of the product and services for other veterinary professionals.


You may be invited to provide feedback through written reflections, surveys or discussions.


With your permission, the Provider may use your feedback (in whole or in part) as a testimonial for marketing or educational purposes. You may choose:

  • to be named
  • to remain anonymous
  • or not to have your feedback used publicly

No personal or identifiable information will ever be shared without your explicit consent.


1.5 Data Protection & Privacy

The Provider will process personal data in accordance with UK GDPR and the Positivity in Practice Privacy Policy.


Some third-party platforms act as data processors on behalf of the Provider. They process personal data in accordance with the Provider’s instructions, while also applying their own technical and privacy practices as set out in their respective privacy policies.


1.6 Intellectual Property

All materials, content, videos and tools are the intellectual property of the Provider and may not be reproduced or shared without written permission.


1.7 Liability

The Provider makes no guarantees regarding specific results.


To the fullest extent permitted by law, the Provider’s total liability is limited to the amount paid for Services.


2 Specific Membership Terms and Conditions


2.1 Membership overview

Membership is to a coaching and training application and community designed to support veterinary professionals to quieten self-doubt, rebuild confidence, rediscover their passion and help them feel proud of themselves and the care they provide.


The Provider may modify membership elements - including content, structure, or platforms - based on ongoing feedback, technical requirements or improvements to the learning experience. 


2.2 Community Conduct & Peer Confidentiality

A psychologically safe community is essential. You agree that:

  • Interactions must remain respectful; harassment, discrimination or harmful behaviour is not permitted.
  • Personal stories shared in the application or on calls remain confidential within the community
  • No screenshots, recordings or redistribution of messages or discussions are permitted
  • Experiences or identities of others must not be shared outside the community


2.3. Termination

In the event of behaviour that compromises psychological safety, breaches confidentiality, or significantly disrupts the experience of other members, the Provider reserves the right to immediately terminate a Membership and remove access from the platform, without refund.


2.4. Use of Third-Party Services

Services are delivered via the Positivity in Practice application and may incorporate third-party services to support functionality, including payment processing, messaging, hosting, and AI-powered features.


You acknowledge that certain features rely on third-party providers and may be subject to their availability and performance.


The Provider is not responsible for interruptions, delays, or technical issues caused by third-party services.


Where relevant (for example, payment processing), you may also be subject to the terms and conditions of those third-party providers.


The Provider reserves the right to change or update the third-party services used to deliver the Services at any time.


2.5 Use of Artificial Intelligence

Some features of the Services are powered by artificial intelligence. These are provided for guidance and reflection purposes only and do not constitute professional advice.


2.5 Membership Cancellation 

You may cancel your Membership at any time. If you cancel, your Membership will remain active until the end of your current billing period (monthly or annual), after which it will not renew. No refunds will be provided for any payments already made, including any unused portion of the Membership period. Following the end of the billing period, your access to the Membership and its features will cease.


3 Specific 1-2-1 Coaching Terms


3.1 Scheduling and Cancellation

You agree to provide at least 24 hours’ notice to reschedule a session. Where at least 24 hours’ notice is given, the session may be rearranged at a mutually convenient time.


If less than 24 hours’ notice is given, or you do not attend a scheduled session, the Provider reserves the right to treat the session as used and deduct it from your package.


1-2-1 Coaching sessions must be used within 12 months of the date of purchase, unless otherwise agreed. Any unused sessions after this time will be forfeited and are non-refundable.


4 Specific Group Coaching Terms


4.1 Scheduling and Cancellation

Group Coaching sessions will be scheduled for a mutually convenient time for the group. Due to the group-based nature of these sessions, it may not be possible to reschedule for individuals’ availability.


If you do not attend a scheduled session, it will be treated as used and no refund or replacement session will be provided.


4.2 Group Conduct & Peer Confidentiality

A psychologically safe group is essential. You agree that:

  • Interactions must remain respectful; harassment, discrimination or harmful behaviour is not permitted.
  • Personal stories shared in Group Coaching sessions remain confidential within the group
  • No screenshots, recordings or redistribution of messages or discussions are permitted
  • Experiences or identities of others must not be shared outside the group


4.3. Termination

In the event of behaviour that compromises psychological safety, breaches confidentiality, or significantly disrupts the experience of other individuals of the group, the Provider reserves the right to immediately terminate an individual’s access to Group Coaching sessions without refund. 


5 General Legal Terms


5.1 Entire Agreement

These Terms constitute the entire agreement between you and the Provider and supersede any prior discussions or representations. Any updates to these Terms will be communicated via the website or platform.


5.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.


5.3 Waiver

If the Provider does not enforce any provision of these Terms, this does not constitute a waiver of the right to enforce it in the future.


5.4 Complaints and Dispute Resolution

If you have a concern or complaint, please contact the Provider in the first instance so that we can attempt to resolve the issue.


If a resolution cannot be reached, you agree to attempt to resolve the dispute in good faith before pursuing formal legal action.


5.5. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.
